Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and EldrisAi OÜ ("Eldris", "we", "us", or "our"), a company registered in Estonia (Registry Code: 17298529).

By accessing or using our EU cosmetics compliance services at cosmetics.eldris.ai (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

These Terms apply to all users, including companies, sole traders, and individuals using the Service for commercial purposes related to selling products in the European Union.

2. Description of Services

Eldris prepares the documents a cosmetic product needs under Regulation (EC) No 1223/2009:

• Cosmetic Product Safety Report (CPSR): the safety report required by Article 10 and Annex I, Part A and Part B, signed by a qualified safety assessor.
• Product Information File (PIF): the file required by Article 11, compiled around the CPSR.
• Label and ingredient list review: a check of your label artwork against Article 19 and of your ingredient list in INCI names.
• CPNP notification: filed by Eldris only when Eldris is also your EU Responsible Person.
• Platform Access: the Eldris portal, where you upload your documents and receive your CPSR and PIF.

Eldris delivers the CPSR and PIF 5–10 working days after it receives your complete documents.

3. Account Registration

To use our Service, you must:

• Register for an account with accurate, complete, and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Be at least 18 years of age or have legal authority to bind your organisation

You are responsible for all activities that occur under your account. Eldris reserves the right to suspend or terminate accounts that violate these Terms.

4. Client Obligations

By using our Service, you agree to:

• Provide accurate and complete product information, including product descriptions, ingredients (where applicable), and safety documentation.
• Ensure your products comply with all applicable EU product safety regulations before placing them on the EU market.
• Maintain appropriate product liability insurance for products sold in the EU.
• Promptly notify Eldris of any product safety incidents, recalls, or regulatory inquiries.
• Keep product information current and update Eldris of any material changes.
• Not use the Service for products that are illegal, prohibited, or otherwise non-compliant with EU regulations.

5. Pricing and Payment

5.1 Fee Structure

• CPSR and PIF: £195 per formula.
• Variation of an assessed formula (same formula, new shade, scent or size): £39.95 per variation.
• Volume discount on the formula fee: 5% from 4 formulas, 10% from 7 and 15% from 10.
• CPNP notification, when Eldris is your EU Responsible Person: £99 per CPSR, with the same volume discount.
• Laboratory tests are not included.

5.2 Payment Terms

• Payments are processed via Stripe.
• The fees in section 5.1 are one-off. There is no subscription and no monthly fee for this service.
• Prices are quoted in GBP (£) unless otherwise stated.
• VAT will be added where applicable based on your business location.

6. Term and Termination

6.1 Term

Each order covers the formulas and variations you pay for and ends when Eldris has delivered their documents. Fees are non-refundable as set out in section 6.5.

6.2 Termination by You

You may cancel an order at any time by contacting us (section 13). Section 6.5 sets out when a fee is refunded.

6.3 Termination by Eldris

We may terminate or suspend your account immediately if you:

• Breach these Terms
• Fail to pay fees when due
• Register products that are illegal or prohibited
• Provide materially false information

6.4 Effect of Termination

Termination ends Eldris's work on any documents not yet delivered. If Eldris is also your EU or UK Responsible Person, the terms of that service govern the appointment.

6.5 Refunds

All fees are payable in full at the time of purchase. Once payment has been made, the service is contractually finalised, and no refund is issued for cancellation, change of mind, or any other reason on your part. The sole exception is our own failure to deliver: if Eldris does not deliver the agreed scope of a purchased service, you are entitled to a full refund of the fee paid for that service on request. Outside of that circumstance, all fees — including onboarding, setup, and subscription fees — are non-refundable.

7. Limitation of Liability

To the maximum extent permitted by law:

• Eldris's total liability for any claims arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
• Eldris shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Eldris is not liable for product safety issues, product recalls, or regulatory non-compliance caused by inaccurate information provided by you.
• Eldris is not liable for marketplace listing suppressions, sales losses, or business interruption.

These limitations do not exclude liability that cannot be excluded under applicable law, including liability for fraud or personal injury.

8. Indemnification

You agree to indemnify, defend, and hold harmless Eldris, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your breach of these Terms
• Your products, including product liability claims
• Inaccurate or misleading product information provided by you
• Your violation of applicable laws or third-party rights

9. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Eldris and protected by intellectual property laws. You may not copy, modify, or reverse engineer any component of the Service.

The CPSR, PIF and other documents generated for your products are licensed to you for your business use only and may not be transferred or sublicensed without prior written consent.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the courts of Estonia. For EU consumers, mandatory consumer protection laws of your country of residence shall apply where required.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
